These Terms and Conditions (“Terms”) govern your access to and use of Willa, including our website, software, text messaging features, event communication tools, and related services collectively, the “Service.”
By accessing or using Willa, creating an account, creating or managing an event, adding guests, sending messages, receiving messages, or otherwise using the Service, you agree to these Terms.
If you do not agree to these Terms, do not use Willa.
1. What Willa Does
Willa is an event communication service that allows event hosts to create events, upload event information, add guests, and communicate event-related information to guests.
Event hosts may use Willa to:
- Create an event
- Add event details such as schedules, addresses, lodging, transportation, dress codes, FAQs, and other event information
- Add guests and guest phone numbers
- Assign or use an event phone number
- Allow guests to text the event phone number with event-related questions
- Send event announcements, reminders, updates, or other text messages to guests
Guests may use Willa to ask questions about an event and receive event-related responses based on information provided by the event host.
2. Who May Use Willa
You may use Willa only if you are legally able to enter into a binding agreement.
If you use Willa on behalf of a company, organization, event planning business, venue, couple, family, group, or other entity, you represent that you have authority to accept these Terms on their behalf.
Willa is not intended for children under 13.
3. Accounts
To use certain features, event hosts may need to create an account.
You agree to provide accurate, current, and complete account information and to keep that information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You should notify us promptly if you believe your account has been accessed without authorization.
4. Event Host Responsibilities
If you create or manage an event through Willa, you are responsible for the event information, guest information, and messages you submit or send through the Service.
You agree that you will only add guests and phone numbers when you have a lawful and appropriate basis to do so.
You are responsible for ensuring that guests you add to Willa have a reasonable connection to the event and would reasonably expect to receive event-related communications.
You may not use Willa to send spam, unrelated marketing, unsolicited promotional messages, misleading messages, harassing messages, or messages unrelated to the event.
You are responsible for the accuracy of the event information you provide. Willa may generate responses based on information uploaded, entered, or approved by the host, but Willa does not independently verify all event details.
5. Guest Use
If you are a guest, you may receive event-related text messages from Willa because an event host added your phone number to an event.
You may text the assigned event phone number to ask event-related questions. Responses may be generated using the information provided by the event host.
You agree not to misuse the Service, send abusive or unlawful messages, attempt to access information you are not authorized to receive, interfere with the Service, or use Willa for any purpose unrelated to the event.
6. SMS/Text Messaging Terms
By using Willa’s SMS features, creating an event with SMS messaging, adding guests to receive SMS messages, texting an assigned Willa event number, or otherwise participating in Willa text messaging, you agree to the following SMS terms.
Willa text messages may include:
- Event announcements
- Schedule updates
- Venue, parking, hotel, travel, lodging, transportation, dress code, and event detail messages
- Responses to guest questions
- Reminders
- Help or support messages
- Other event-related communications
Message frequency varies. The number of messages sent or received may depend on the event, the host’s use of Willa, the number of announcements sent, and whether guests text the event number with questions.
Message and data rates may apply. Your mobile carrier may charge fees for sending or receiving text messages.
Guests may opt out of receiving text messages by replying STOP. After replying STOP, you may receive one final confirmation message. Guests may reply HELP for help.
Carriers are not liable for delayed or undelivered messages.
Willa may use third-party telecommunications providers to send and receive SMS messages. Message delivery is not guaranteed and may depend on carrier networks, device settings, service availability, and other factors outside Willa’s control.
7. Mobile Number and SMS Consent
Willa does not sell, rent, or share mobile phone numbers, SMS consent, or SMS opt-in data with third parties or affiliates for their own marketing or promotional purposes.
Mobile phone numbers and messaging-related information may be shared with service providers only as necessary to operate Willa, provide text messaging services, prevent abuse, comply with law, or support the Service.
8. Acceptable Use
You agree not to use Willa to:
- Violate any law, regulation, carrier rule, or third-party right
- Send spam, unsolicited marketing, or unrelated promotional messages
- Harass, threaten, abuse, impersonate, or deceive anyone
- Upload or transmit unlawful, harmful, misleading, defamatory, obscene, or otherwise objectionable content
- Upload malicious code, malware, or harmful files
- Attempt to gain unauthorized access to Willa, other accounts, systems, or data
- Scrape, copy, reverse engineer, or interfere with the Service
- Use Willa to send emergency, life-safety, medical, or security-critical communications
- Overload, disrupt, or abuse Willa’s systems, messaging infrastructure, or third-party providers
- Use Willa in a way that could cause us, our users, or our service providers to violate applicable messaging, privacy, or telecommunications requirements
We may suspend or terminate access to Willa if we believe the Service is being misused.
9. Event Information and Generated Responses
Willa may provide responses to guest questions based on event information submitted by the host, uploaded documents, event details, FAQs, or other host-provided content.
Willa is designed to assist with event communication, but responses may be incomplete, inaccurate, outdated, or misunderstood. Hosts are responsible for reviewing and maintaining accurate event information.
Guests should confirm important details with the event host, venue, official invitation, or other authoritative event source when needed.
Willa should not be used for emergencies or urgent safety matters. In an emergency, contact emergency services or the appropriate responsible party directly.
10. Payments and Subscriptions
Some features of Willa may require payment.
If paid plans, subscriptions, usage-based billing, or other fees apply, pricing and payment terms will be provided at the time of purchase or subscription.
By purchasing a paid plan, you authorize Willa or its payment processor to charge the payment method you provide for applicable fees, taxes, and charges.
Unless otherwise stated at checkout, fees are non-refundable except as required by law or expressly agreed by Willa.
We may change pricing or plan features from time to time. Changes will apply prospectively unless otherwise stated.
11. Third-Party Services
Willa may rely on third-party services, including hosting providers, database providers, SMS providers, payment processors, analytics providers, mapping services, file storage providers, and other technology vendors.
Your use of Willa may also involve third-party links or information, such as venue websites, hotel links, registry links, map links, transportation links, or event websites.
Willa is not responsible for third-party websites, services, availability, content, policies, or practices.
12. User Content
You retain ownership of the content you provide to Willa, including event details, uploaded documents, guest information, messages, and other materials you submit through the Service.
By submitting content to Willa, you grant us a limited license to use, host, store, process, transmit, display, and reproduce that content as needed to provide, operate, secure, support, and improve the Service.
You represent that you have the rights and permissions necessary to submit the content to Willa and to allow us to use it as described in these Terms.
13. Privacy
Your use of Willa is also governed by our Privacy Policy, available at:

The Privacy Policy explains how we collect, use, disclose, and protect information.
14. Service Availability
We aim to provide a reliable service, but Willa may be unavailable, delayed, interrupted, or limited from time to time.
This may occur due to maintenance, system failures, third-party provider outages, carrier delays, internet issues, security incidents, high traffic, or other causes.
We do not guarantee that Willa will be uninterrupted, error-free, secure, or available at all times.
15. Changes to the Service
We may modify, suspend, discontinue, or limit any part of Willa at any time. This includes features, plans, pricing, integrations, messaging functionality, and availability.
We are not liable for changes to or discontinuation of any part of the Service.
16. Termination
You may stop using Willa at any time.
We may suspend or terminate your access to Willa if:
- You violate these Terms
- You misuse the Service
- You create legal, security, carrier compliance, or reputational risk
- Your use could harm Willa, guests, hosts, service providers, or third parties
- Required by law, carrier rules, or service provider requirements
- Your account is inactive or unpaid, where applicable
Upon termination, your right to use the Service will end. Certain provisions of these Terms will continue to apply, including those related to privacy, payments owed, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.
17. Intellectual Property
Willa, including our website, software, design, branding, logos, text, graphics, features, and technology, is owned by Willa or our licensors and is protected by intellectual property laws.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on Willa unless we give you written permission.
The name “Willa,” the Willa logo, and related branding may not be used without our permission.
18. Feedback
If you provide feedback, suggestions, ideas, or recommendations about Willa, you agree that we may use them without restriction or compensation to you.
19. Disclaimers
Willa is provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
We do not guarantee that:
- The Service will always be available
- Messages will always be delivered
- Responses will always be accurate or complete
- Event information will always be current
- The Service will meet your expectations or requirements
- The Service will be free from errors, interruptions, delays, or security issues
20. Limitation of Liability
To the fullest extent permitted by law, Willa and its owners, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, service interruptions, message delivery failures, or event-related issues.
To the fullest extent permitted by law, Willa’s total liability for any claim related to the Service will not exceed the greater of:
$100
or the amount you paid to Willa for the Service in the three months before the claim arose.
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
21. Indemnification
You agree to defend, indemnify, and hold harmless Willa and its owners, employees, contractors, service providers, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- Your use of Willa
- Your violation of these Terms
- Your violation of applicable law
- Your content or event information
- Your guest lists or guest communications
- Your failure to obtain appropriate rights, permissions, or consent
- Your misuse of SMS messaging or other communication features
- Claims by guests, hosts, venues, vendors, or third parties related to your event or use of the Service
22. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
23. Dispute Resolution
Before filing a claim, you agree to first contact us and attempt to resolve the dispute informally.

If we cannot resolve the dispute informally, disputes will be handled in the state or federal courts located in Texas, unless otherwise required by law.
24. Changes to These Terms
We may update these Terms from time to time.
